State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra Sheets if Needed)
 
PHL Variable Insurance Company (the “Registrant”) filed a Current Report on Form 8-K with the Securities and Exchange Commission (the “SEC”) on September 18, 2012 (as was amended by Forms 8-K/A filed by the Registrant on November 8, 2012, March 15, 2013 and April 24, 2013, respectively) disclosing its conclusion that certain of its previously issued annual audited and interim unaudited financial statements contained in its historical Annual Reports on Form 10-K and Quarterly Reports on Form 10-Q should no longer be relied upon and should be restated (the “Restatement”).
 
The Registrant filed its Annual Report on Form 10-K for the year ended December 31, 2012 with the SEC containing the Restatement on April 25, 2014 (the “2012 Form 10-K”), filed its Quarterly Report on Form 10-Q for the period ended September 30, 2012 with the SEC on April 30, 2014 (the “Third Quarter 2012 Form 10-Q”), filed its Annual Report on Form 10-K for the year ended December 31, 2013 (the “2013 Form 10-K”) with the SEC on August 22, 2014, filed its Quarterly Reports on Forms 10-Q for the periods ended March 31, 2013, June 30, 2013 and September 30, 2013 (collectively, the “2013 Forms 10-Q”) on September 12, 2014 with the SEC, filed its Quarterly Report on Form 10-Q for the period ended March 31, 2014 (the “First Quarter 2014 Form 10-Q”) with the SEC on October 21, 2014 and filed its Quarterly Report on Form 10-Q for the period ended June 30, 2014 (the “Second Quarter 2014 Form 10-Q”) with the SEC on November 7, 2014.
 
Following the filing of the 2012 Form 10-K, the Third Quarter 2012 Form 10-Q, the 2013 Form 10-K, the 2013 Forms 10-Q, the First Quarter 2014 Form 10-Q and the Second Quarter 2014 Form 10-Q with the SEC, the Registrant will be delayed in filing the Quarterly Report on Form 10-Q for the period ended September 30, 2014 (the “Third Quarter 2014 Form 10-Q”). The Registrant is working diligently to complete the Third Quarter 2014 Form 10-Q.
 
The Registrant will not file the Third Quarter 2014 Form 10-Q on or before the prescribed due date of November 14, 2014 or within the five day extension period offered by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
