Item 8.01.
 
Other Events.

On April 15, 2014, The Phoenix Companies, Inc. (“PNX”), the parent company of PHL Variable Insurance Company (“PHLVIC”), announced that it expects to file its Quarterly Report on Form 10-Q for the period ended September 30, 2012 (the “PNX Form 10-Q”) with the Securities and Exchange Commission (the “SEC”) on or before April 25, 2014.  PNX also announced that PHLVIC expects to file its Annual Report on Form 10-K for the year ended December 31, 2012 (the “PHLVIC Form 10-K”) with the SEC on or before April 25, 2014.  PNX and PHLVIC are subject to an Order Instituting Cease-and-Desist Proceedings Pursuant to Section 21C of the Securities Exchange Act of 1934, Making Findings, and Imposing a Cease-and-Desist Order, which was approved by the SEC on March 21, 2014 (the “Order”).  The Order stipulates that the PNX Form 10-Q and the PHLVIC Form 10-K be filed with the SEC by April 15, 2014.
