Organization and Operations	Organization and Operations PHL Variable Insurance Company (“we,” “our,” “us,” “PHL Variable” or the “Company”) is a life insurance company offering variable and fixed annuity and life insurance products. It is a wholly owned subsidiary of PM Holdings, Inc., and PM Holdings, Inc. is a wholly owned subsidiary of Phoenix Life Insurance Company (“Phoenix Life”), which is a wholly owned subsidiary of The Phoenix Companies, Inc. (“PNX” or “Phoenix”), a New York Stock Exchange listed company. Saybrus Partners, Inc. (“Saybrus”), an affiliate, provides dedicated life insurance and other consulting services to financial advisors in partner companies, as well as support for sales of our product line through independent distribution organizations. As a result of discussions with its regulators related to the execution of an intercompany reinsurance treaty between Phoenix Life and the Company during the second quarter of 2015, Phoenix announced its intention to de-stack its insurance company subsidiaries making the Company a subsidiary of the Phoenix holding company.
