Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of July 1, 2013, Robert C. Petersen, 69, retired as the Chief Operating Officer ("COO") of TRC Companies, Inc. ("the Company"). Mr. Petersen will continue to work for the Company on a number of special projects. The Company does not plan to fill the COO position.
