Item 8.01. Other Events.
On October 5, 2011 the Court in the case of The Arena Group, L.P. v. TRC Environmental Corporation and TRC Companies, Inc. issued an Order granting the Company's motion to disregard $7.5 million of the $15.7 million verdict returned against the Company in June 2011, and on October 10, 2011 the Court issued a judgment on the verdict. On January 3, 2012 the Company paid $8.7 million in full satisfaction of the judgment and interest. As previously disclosed, the case involved a former landlord seeking damages for alleged breach of a lease for certain office space in Houston, Texas.
