Item 2.02 Results of Operations and Financial Condition.

On April 26, 2007, CuraGen Corporation, a Delaware corporation (the “Company”), announced its financial results for the quarter ended March 31, 2007. In addition, the Company provided updated guidance on its business and financial outlook for fiscal year 2007.
