Item 1.01. Entry into a Material Definitive Agreement.

 

On August 10, 2005, 454 Life Sciences Corporation (“454”), a majority-owned subsidiary of CuraGen Corporation, entered into an employment agreement with Christopher K. McLeod, President and Chief Executive Officer of 454.

 

The agreement is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
