Item 2.02  Results of Operations and Financial Condition.

UTStarcom, Inc., a Delaware corporation (“UTStarcom” or the “Company”), announced on July 30, 2007 its intention to hold a conference call on August 1, 2007 at 4 p.m. Pacific time.  During the conference call, the Company expects to discuss certain historical financial information, as set forth in Exhibit 99.1 attached hereto.
