Item 5.07. Submission of Matters to a Vote of Security Holders
At its annual meeting of shareholders held on April 27, 2011 (the Annual Meeting), Oriental Financial Group Inc. (the Company) submitted several proposals, including a proposal entitled Advisory Vote on the Frequency of the Vote on Executive Compensation, which allowed the Companys shareholders to choose among the options of holding an advisory vote on the compensation of the Companys named executive officers (i.e., a say-on-pay vote) every one, two or three years, or to abstain from voting. As previously reported by the Company, a majority of the votes cast at the Annual Meeting were in favor of holding the say-on-pay vote every year. After consideration of these results, the Companys Board of Directors, at its meeting held on August 31, 2011, determined that the Company will hold an advisory say-on-pay vote every year until the next shareholder advisory vote on the frequency of future advisory votes on executive compensation.
