SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS

ITEM 1.02 Termination of a Material Definitive Agreement

New Jersey Mining Company (OTCBB:NJMC) (“NJMC”) was notified by Newmont North American Exploration (Newmont) that it was withdrawing from the Toboggan Joint Venture. The Quitclaim and Release documents were signed by the Company on April 14, 2011. As a result of the joint venture termination, New Jersey Mining Company now wholly owns all the mineral lode claims that were part of the joint venture which cover an area of approximately 8,000 acres. Newmont spent just under $2 million in three field seasons, and the exploration data generated by this exploration will now be transferred to NJMC.
