EXPLANATION: The Registrant expects that it will have both higher revenues and higher expenses for the year ended December 31, 1999 compared to December 31, 1998. The Registrant received the net proceeds from its initial public offering as 1998 came to a close and received the proceeds of the redemption of its warrants in March 1999. These funds were used to expand the business, which resulted in increased expenses. In addition, the Registrant acquired its e-commerce site, www.massmusic.com, in April 1999, which also had a significant impact on the Registrant's results of operations in 1999 compared to 1998. The Registrant expects that its Statement of Operations for the year ended December 31, 1999 will show net revenues of approximately $1,961,000, total costs and expenses of approximately $14,675,000 and a net loss of approximately $12,672,000. All of these numbers reflect substantial increases over the comparable line items for the year ended December 31, 1998. The net loss per share is expected to decline to approximately $2.37, despite the increase in the absolute dollar value of the net loss, as a result of the significant increase in the number of shares outstanding that resulted from the redemption of the public warrants, the acquisition of Mass Music and other miscellaneous issuances of common stock during 1999. -----END PRIVACY-ENHANCED MESSAGE-----
