                            Amendment to the By-Laws
                                       of
                            Warburg, Pincus Trust II



Pursuant to Article VIII of the By-Laws of Warburg, Pincus Trust II, the name
of the Trust shall be changed to Credit Suisse Warburg Pincus Trust II
effective May 1, 2001.
