Item 1.03 Bankruptcy or Receivership.
On March 20, 2024, Sonic Foundry gave an Assignment for the Benefit of Creditors to an intended Receiver and the intended Receiver petitioned the Dane County Circuit Court in Wisconsin (the “Court”), to appoint himself as receiver (the “Receiver”) of all assets of Sonic Foundry, Inc. (the “Company”) on March 21, 2024. The Receiver will have broad powers and authority to take possession of, and protect and preserve, all of the assets of the Company, and administer the estate in accordance with Wis. Stats. Ch. 128. Accordingly, the Receiver will be empowered to sell all of the assets of the Company (together or separately) and distribute the proceeds of such sale to the Company’s creditors in a manner approved by the Court. The filing of a petition for a receiver is considered an event of default under the Company’s Secured Promissory Note and Security Agreement with Mark Burish (“Burish Note and Security Agreement”). The Company’s shareholders will not receive distributions in the receivership.
Item 2.04 Triggering Events that Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.
The information set forth under Item 1.03 is incorporated herein by reference. As a result of such event of default, all amounts due under the Burish Note and Security Agreement automatically became due. The Company has approximately $7.0 million of principal, interest and fees outstanding under the Burish Note and Security Agreement.
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On March 20, 2024, each of Messrs. Mozden, Murphy, St. Lawrence and Wiegand resigned as members of the Board and as members of all committees effective immediately. The resignations were not the result of any dispute or disagreement with the Company on any matter relating to the operations, policies or practices of the Company.
The Company does not intend to appoint any new directors to fill the vacancies.

Cautionary Note Regarding the Company’s Securities
The Company cautions that trading in the Company’s securities during the pendency of the receivership is highly speculative and poses substantial risks.
