Item 8.01 Other Events.

Ralcorp Holdings, Inc. (“Ralcorp”) has set June 13, 2008 as the record date for the special meeting of shareholders to consider and vote upon a proposal to approve the issuance of shares of Ralcorp common stock in connection with the proposed merger of the Post cereals business with and into Ralcorp.  Ralcorp has not yet set the date and time for the special meeting.
