Item 8.01 Other Events.

On November 15, 2005, Ralcorp Holdings, Inc. issued a press release announcing that it completed the purchase of Western Waffles, Ltd., a Canadian manufacturer of private label frozen griddle products in the U.S. and Canada.  The press release is furnished as Exhibit 99.1 hereto and incorporated herein by reference.
