EXPLANATORY NOTE
 
Spectrum Brands, Inc. (the "Company") filed its Annual Report on Form 10-K for the fiscal year ended September 30, 2009 on December 29, 2009 (the "Original Form 10-K") and is filing this Amendment No. 1 to the Annual Report on Form 10-K/A for the fiscal year ended September 30, 2009 (this "Form 10-K/A") to restate Item 9A. "Controls and Procedures."  This Form 10-K/A amends the first paragraph of Item 9A under the heading "Evaluation of Disclosure Controls and Procedures" to disclose the Company's Chief Executive Officer's and Chief Financial Officer's revised conclusion as to the effectiveness of the Company's disclosure controls and procedures as of September 30, 2009.  In addition, this Form 10-K/A amends the second paragraph of Item 9A under the heading "Management’s Annual Report on Internal Control Over Financial Reporting" to correct an inadvertent typographical error by including a statement as to the Company's management's conclusion as to the effectiveness of the Company's internal control over financial reporting.

In connection with the filing of this Form 10-K/A and pursuant to Rules 13a-14(a) or 15d-14(a) promulgated under the Securities Exchange Act of 1934, as amended, we are including with this Form 10-K/A certain currently dated certifications.

Evaluation of Disclosure Controls and Procedures. Our management, with the participation of our principal executive officer and principal financial officer, has evaluated the effectiveness of our disclosure controls and procedures (as such term is defined in Rules 13a-15(e) and 15d-15(e) under the Exchange Act) pursuant to Rule 13a-15(b) under the Exchange Act as of the end of the period covered by this Annual Report on Form 10-K.  Our management has also considered that, due to an inadvertent typographical error in an exchange of drafts, its Annual Report on Form 10-K for the fiscal year ended September 30, 2009 as originally filed on December 29, 2009 did not contain an express st atement of our management's conclusion as to the Company's internal control over financial reporting.  Because our disclosure controls and procedures did not prevent this inadvertent error, our Chief Executive Officer and Chief Financial Officer have concluded that, as of September 30, 2009, our disclosure controls and procedures were not effective to ensure that information required to be disclosed by us in reports that we file or submit under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in applicable SEC rules and forms, and is accumulated and communicated to the Company’s management, including the Company’s Chief Executive Officer and Chief Financial Officer, as appropriate to allow timely decisions regarding required disclosure.
 
We are restating Item 9A to include a statement as to management's conclusion regarding internal control over financial reporting.  Our management has taken steps to ensure stricter compliance with the Company's internal review procedures in the future.  Our management assessed its disclosure controls and procedures, and our Chief Executive Officer and Chief Financial Officer have concluded that, as of January 3, 2010, our disclosure controls and procedures were effective to ensure that information required to be disclosed by us in reports that we file or submit under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in applicable SEC rules and forms, and is accumulated and communicated to the Company’s management, including the Company’s Chief Execut ive Officer and Chief Financial Officer, as appropriate to allow timely decisions regarding required disclosure.
 
Management’s Annual Report on Internal Control over Financial Reporting. The Company’s management is responsible for establishing and maintaining adequate internal control over financial reporting (as defined in Rules 13a-15(f) and 15d-15(f) under the Exchange Act). The Company’s management assessed the effectiveness of its internal control over financial reporting as of September 30, 2009. In making this assessment, the Company’s management used the criteria set forth by the Committee of Sponsoring Organizations of the Treadway Commission (“COSO”) in Internal Control-Integrated Framework. The Company’s management has c oncluded that, as of September 30, 2009, its internal control over financial reporting is effective based on these criteria. This annual report does not include an attestation report of the Company's registered public accounting firm regarding internal control over financial reporting. Management's report was not subject to attestation by the Company's registered public accounting firm pursuant to temporary rules of the Securities and Exchange Commission that permit the Company to provide only management's report in this annual report.
 
Changes in Internal Control Over Financial Reporting. There was no change in our internal control over financial reporting (as defined in Rules 13a-15(f) and 15d-15(f) under the Securities Exchange Act of 1934, as amended) that occurred during our fourth fiscal quarter that has materially affected, or is reasonably likely to materially affect, our internal control over financial reporting.
 
Limitations on the Effectiveness of Controls. The Company’s management, including our Chief Executive Officer and Chief Financial Officer, does not expect that the Company’s disclosure controls and procedures or the Company’s internal controls over financial reporting will prevent all errors and all fraud. A control system, no matter how well conceived and operated, can provide only reasonable, not absolute, assurance that the objectives of the control system are met. Further, the design of a control system must reflect the fact that there are resource constraints, and the benefits of controls must be considered relative to their costs. Because of the inherent limitations in all control systems, no evaluation of controls can provide absolute assurance that all control issues and instances of fraud, if any, within the Company have been detected.
