        We hereby consent to the inclusion of our opinion letter to the Board of Directors of San Diego Trust Bank, a California chartered bank, as Appendix B to the Proxy Statement/Prospectus which forms a part of the Amendment No. 1 to the Registration Statement on Form S-4 dated the date hereof relating to the proposed merger of San Diego Trust Bank with and into Pacific Premier Bank, a California chartered bank and a wholly owned subsidiary of Pacific Premier Bancorp, Inc., a Delaware corporation, and to the references to such opinion and our firm therein.
