ITEM 8.01    OTHER MATTERS
 
    On November 20, 2023, Pacific Premier Bancorp, Inc. (the “Company”), the holding company of Pacific Premier Bank (the “Bank”), issued a press release announcing the completion of a balance sheet repositioning related to the Bank’s investment securities portfolio.

In November 2023, the Bank sold approximately $1.27 billion of available-for-sale lower-yielding agency and mortgage-backed debt securities for an estimated after-tax loss of approximately $182.3 million. The Bank expects to deploy the net proceeds from the sales during the fourth quarter into a mix of cash and higher-yielding earning assets during the fourth quarter with an expected average yield of approximately 5.0%. The repositioning is expected to result in approximately $37.1 million in additional after-tax earnings, on an annualized basis, in future periods. The securities sold had a weighted average yield of 1.34%.
    
The aggregate loss on the sales of securities has a neutral impact on stockholders’ equity and the Company’s book value per share. Upon execution of the repositioning strategy, the Bank’s capital levels remain well in excess of those required to be categorized as well-capitalized. This repositioning is expected to have a positive impact on the Company’s tangible common equity-to-tangible assets ratio, and is expected to be accretive to earnings, net interest margin, and return on average assets in future periods. The repositioning will provide the Company with greater flexibility in managing balance sheet growth.
