ITEM 5.02  DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
           APPOINTMENT OF PRINCIPAL OFFICERS.

     On August 3, 2006, the Company announced that it has named Mr. Stephen
Nicholas as Senior Vice President of Global Sales and Marketing and Mr. Jon
Umstead to the newly created position of Senior Vice President and Global Head
of Business Process Outsourcing.  Mr. Raj Sirohi, former Senior Vice President
of Global Sales and Marketing will serve as a consultant to the Company while
pursuing other opportunities outside the Company.  A copy of the press release
is attached hereto as Exhibit 99.1.
