Item 5.				Other Events.
	On June 14, 2001, Metawave Communications Corporation (the "Company") issued 2,264,151 shares of the Company's common stock to Acqua Wellington North American Equities Fund Ltd. ("Acqua Wellington") pursuant to a purchase agreement entered into on June 14, 2001 between the Company and Acqua Wellington.           On June 26, 2001, the Company issued an additional 666,6667 shares of the Company's common stock to Acqua Wellington pursuant to a purchase agreement entered into on June 22, 2001 between the Company and Acqua Wellington.           The full text of the purchase agreements in connection with the foregoing are filed as Exhibit 99.1 and Exhibit 99.2 to this Current Report on Form 8-K. The shares of the Company common stock sold to Acqua Wellington are registered under our Registration Statement on Form S-3 (Registration No. 333-61470.
