        <footnote id="F1">On 1/22/03, the reporting person was granted an aggregate of 105,000 shares of restricted stock under the 1996 Stock Option Plan for Officers and Key Employees, consisting of a grant of 75,000 shares which vest over a 4-year period and a grant of 30,000 shares which vest over a 2-year period.  In accordance with the terms of the grants, the reporting person deferred both grants into restricted stock units over the applicable vesting periods.  On the original Form 4 filed on 1/25/03, both grants were erroneously reflected as restricted stock.  On 2/11/03, an amendment to the original Form 4 was filed to reflect 75,000 shares as restricted stock units.  This amendment corrects both the original Form 4 and the amendment to the original Form 4 to appropriately reflect all of the 105,000 shares (including the remaining 30,000 shares) as restricted stock units.</footnote>
