Item 1.01       Entry into a Material Definitive Agreement.

On April 27, 2007, the holders of record of 100% of the outstanding $50,000,000 principal amount of Epiq System, Inc. 4% Contingent Convertible Subordinated Notes elected to extend the maturity of the Notes from June 15, 2007, to June 15, 2010, in accordance with the terms of the Notes. Under the original terms of the Notes, the holders of more than 50% of the outstanding notes had the option, at their election, to extend the maturity of the Notes to a date no later than June 15, 2010. The maturity of the notes was extended by the noteholders pursuant to this provision.

The CUSIP number for the Notes, 26882DAB5, will remain the same and reflect the extended maturity date.
