EXPLANATORY NOTE

This Amendment on Form 20-F/A (this “Amendment”) to the Annual Report on Form 20-F of Asia Pacific Wire & Cable Corporation Limited (the “Company”) for the fiscal year ended December 31, 2009 (the “Form 20-F”) is being filed by the Company solely for the purpose of incorporating a consent by Mazars LLP, Certified Public Accountants. No other changes to the Form 20-F have been made in this Amendment.
