As a shareholder of the City National Rochdale Fixed Income Opportunities Fund (the “Fund”), a series of City National Rochdale Funds (the “Trust”), you are receiving this notice regarding the internet availability of an information statement (the “Information Statement”) relating to the appointment of Deschutes Portfolio Strategy, LLC, doing business as Matisse Capital (“Matisse”) as a sub-adviser to the Fund. This notice presents an overview of the Information Statement that is available to you on the internet or, upon request, by mail or email. As described below, the Information Statement is for informational purposes only and, as a shareholder of the Fund, you do not need to take any action in connection with the change.

 

On August 22, 2019, the Board of Trustees of the Trust approved a new sub-advisory agreement between City National Rochdale, LLC (the “Adviser”) and Matisse with respect to the Fund. The new sub-advisory agreement became effective on November 26, 2019.

 

The Adviser continues to serve as investment adviser to the Fund. There will be no increase in fees to the Fund and its shareholders as a result of this appointment.

 

The Fund has received an exemptive order (the “Exemptive Order”) from the U.S. Securities and Exchange Commission (the “SEC”) that permits the Adviser, subject to certain conditions required by the SEC, to retain an unaffiliated sub-adviser or terminate or replace a sub-adviser to the Fund, with the approval of the Board of Trustees but without obtaining approval of the Fund’s shareholders. Although approval by the Fund’s shareholders is not required, the Exemptive Order requires that an Information Statement be provided to the Fund’s shareholders in connection with such actions.

 

By sending you this notice, the Fund is notifying you that it is making the Information Statement available to you via the internet in lieu of mailing you a paper copy. The Board of Trustees of City National Rochdale Funds has appointed Deschutes Portfolio Strategy, LLC, doing business as Matisse Capital (“Matisse”) as a sub-adviser to the City National Rochdale Fixed Income Opportunities Fund (the “Fund”).

 

On August 22, 2019, the Board of Trustees of the Trust approved a new sub-advisory agreement between City National Rochdale, LLC (the “Adviser”) and Matisse with respect to the Fund. The new sub-advisory agreement became effective on November 26, 2019.

 

City National Rochdale, LLC continues to serve as investment adviser to the Fund. There will be no increase in fees to the Fund and its shareholders as a result of this appointment.

INFORMATION STATEMENT
TO SHAREHOLDERS OF THE
CITY NATIONAL ROCHDALE FIXED INCOME OPPORTUNITIES FUND

 

This document is an Information Statement and is being provided to shareholders of the City National Rochdale Fixed Income Opportunities Fund (the “Fund”), a series of City National Rochdale Funds (the “Trust”), in lieu of a proxy statement pursuant to the terms of an exemptive order issued by the Securities and Exchange Commission (the “SEC”). City National Rochdale, LLC (the “Adviser”) serves as the investment adviser for the Fund. The exemptive order permits the Adviser and the Board of Trustees of the Trust (the “Board”) to employ unaffiliated sub-advisers, terminate sub-advisers, and modify sub-advisory agreements with unaffiliated sub-advisers without prior approval of the Fund’s shareholders.

 

The Board reviews advisory and sub-advisory agreements annually. In addition, under the SEC order, if the Adviser and the Board retain a new sub-adviser, the Trust is required to provide an Information Statement to shareholders of the affected portfolios of the Trust explaining the change.

 

Certain information on the share ownership of the Fund is set forth in Appendix A.

Appointment of Matisse as a Sub-Adviser to the City National Rochdale Fixed Income Opportunities Fund

 

On August 22, 2019, the Board of Trustees (the “Board”) of City National Rochdale Funds (the “Trust”), including the Trustees who are not “interested persons” of the Trust (the “Independent Trustees”) as defined in the Investment Company Act of 1940, as amended (the “1940 Act”), unanimously approved the appointment of Deschutes Portfolio Strategy, LLC, doing business as Matisse Capital (“Matisse”) as a sub-adviser to the City National Rochdale Fixed Income Opportunities Fund series of the Trust (the “Fund”). In that connection, the Board approved a new sub-advisory agreement between City National Rochdale, LLC (the “Adviser”) and Matisse with respect to the Fund. The new sub-advisory agreement became effective on November 26, 2019.

 

No officers or Trustees of the Trust are officers, employees, directors, managers or members of Matisse. In addition, since the beginning of the Trust’s last fiscal year, no Trustee has had, directly or indirectly, any interest in Matisse, any of its parents or subsidiaries or any subsidiaries of a parent of any such entities, and no Trustee has been a party to a material transaction or material proposed transaction to which Matisse, any of its parents or subsidiaries or any subsidiaries of a parent of any such entities, was or is to be a party.

 

Considerations by the Board of Trustees

 

At its August 2019 meeting, in connection with its review of the proposed sub-advisory agreement, the Trustees considered information provided by Matisse regarding a variety of matters, including the overall quality and depth of Matisse’s organization, its overall financial strength and stability, its commitment to compliance with applicable laws and regulations and the systems in place to ensure compliance with those requirements, its portfolio trading and soft dollar practices, and its disaster recovery and contingency planning practices. The Trustees also considered the experience and capability of Matisse’s management, the background, education and experience of Matisse’s personnel, and its efforts to retain, attract and motivate capable personnel. The Trustees also considered Matisse’s investment philosophy and process as well as its brokerage and trading practices.

 

The Board reviewed the performance of Matisse’s discounted bond closed-end fund (“CEF”) strategy. The Board observed that the meeting materials indicated that the performance of the fixed income portion of Matisse’s CEF portfolio for the one-, three- and five-year periods ended June 30, 2019, were higher than the returns of the iBoxx Liquid Investment Grade Index, the iBoxx Liquid High Yield Index, and the S&P National AMT-Free Municipal Bond Index. The Board concluded that Matisse was likely to provide high quality sub-advisory services to the Fixed Income Opportunities Fund.

 

The Board reviewed information included in the meeting materials regarding the sub-advisory fee proposed to be charged by Matisse with respect to the Fund. The Board observed that the sub-advisory fee proposed to be paid to Matisse with respect to the Fund was lower than the fees it charges to manage a mutual fund and a separate account using a CEF strategy.

The Board also considered the potential benefits to be received by Matisse as a result of Matisse’s relationship with the Fund, other than the receipt of its sub-advisory fee, including any research provided to Matisse by broker-dealers providing execution services to the Fund, and the intangible benefits of its association with the Fund generally and any favorable publicity arising in connection with the Fund’s performance.

 

Based on their review, including their consideration of each of the factors referred to above, the Board and the Independent Trustees concluded that the terms of the proposed sub-advisory agreement, including the sub-advisory fee to be received by Matisse, were fair and reasonable in light of the nature and quality of the services proposed to be provided by Matisse to the Fund and its shareholders, and it would be in the best interests of the Fund and its shareholders to approve the new sub-advisory agreement with Matisse. The Trustees noted that they would be required to approve Matisse’s compliance program before Matisse could begin to provide sub-advisory services to the Fund.

 

Terms of Sub-Advisory Agreement

 

The Matisse sub-advisory agreement will continue in force for a term of two years following its effective date, unless sooner terminated, and will continue in force from year to year thereafter so long as it is specifically approved at least annually in the manner required by the 1940 Act.

 

The agreement will automatically terminate in the event of its assignment (as defined in the 1940 Act) and may be terminated at any time without payment of any penalty by the Adviser, by the Board or by a vote of a majority of the outstanding voting securities of the Fund, as defined by the 1940 Act, on 60 days’ prior written notice to Matisse. The agreement may also be terminated at any time by Matisse on 60 days’ written notice to the Adviser. The agreement will automatically terminate if the Investment Management Agreement between the Adviser and the Trust with respect to the Fund is assigned or terminated.

 

Pursuant to the sub-advisory agreement, Matisse is entitled to annual fees at the following annual rate as a percentage of the Fund’s average daily net assets:

 

  50 basis points on the first $100 million
  40 basis points on the next $200 million
  35 basis points thereafter.

 

The sub-advisory fees paid pursuant to the sub-advisory agreement are paid by the Adviser and not the Fund. Because the Adviser pays Matisse out of the Adviser’s own fees received from the Fund, there is no “duplication” of advisory fees paid. The Adviser receives an annual fee of 0.50% of the Fund’s average daily net assets. There will be no increase in advisory fees to the Fund and its shareholders in connection with the appointment of Matisse as sub-adviser to the Fund.
