Novation Companies, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2017 (the “Report”) without unreasonable effort or expense due to delays in obtaining and compiling information for inclusion in the Report. The Company expects to be able to file the Report on or before the fifteenth calendar day following its original prescribed due date.

The Company anticipates that its results of operations to be included in the Report will be significantly different from the corresponding periods for the last fiscal year, primarily as a result of the Company’s emergence from bankruptcy, completion of the acquisition of its wholly-owned subsidiary Healthcare Staffing, Inc., the operations of which now are the Company’s primary operations, and the restructuring of the Company’s senior debt, each effective on July 27, 2017. These developments have been discussed in detail in the Company’s previous periodic filings with the Securities and Exchange Commission.
