Explanatory Note

This Form 8-K/A is being filed as an amendment to the current report on Form 8-K filed by Enterprise Financial Services Corp (“Company”) on November 4, 2024 (“Original Filing”) announcing the appointment of Michael E. Finn to the Company's Board of Directors (the "Board"). At the time of Mr. Finn's appointment to the Board, the Board had not determined the committees of the Board to which Mr. Finn would be named. The purpose of this amendment is to disclose the Board committees to which Mr. Finn has been appointed. Item 5.02 of the Original Filing is amended with the disclosures set forth below. Except as set forth below, there are no other changes to the Original Filing.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board has appointed Michael E. Finn to serve on the Risk and Compensation Committees of the Board.
