Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) The Board of Directors of Chase Packaging Corporation (the “Company”) has elected Wayne A. Whitener as a member of the Company’s Board of Directors effective June 5, 2009. There is no arrangement or understanding between Mr. Whitener and the Company or any of its representatives pursuant to which Mr. Whitener was selected as a director except an agreement for the payment of the standard directors’ fees. Since the Company is a development stage company with no operating assets, no committees have been designated. Mr. Whitener has not been engaged in any business transaction with the Company. Mr. Whitener is not party to any material plan, contract, or arrangement with the Company.
