Item 2.02. Results of Operations and Financial Condition.

     On March 6, 2006, the Registrant issued the press release attached hereto as Exhibit 99.1 announcing its financial results for the year and fourth quarter of 2005.

Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On March 4, 2005, effective immediately, the Board of Directors appointed Tricia L. Fulton, 39, as Chief Financial Officer of the Company. Ms. Fulton has been with the Company since March 1997 in positions of increasing responsibility, most recently as the Corporate Controller. Ms. Fulton’s current annual compensation is $110,000.

     On March 6, 2006, the Registrant issued the press release attached hereto as Exhibit 99.2 announcing the declaration of a $0.10 per share cash dividend on its common stock, payable on April 15, 2006, to shareholders of record as of March 31, 2006.
