State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

To complete the required management evaluation of our internal control over financial reporting required Isonics Corporation management to invest a significant amount of time and effort.  Further, in June 2008 we completed a private placement, which required a significant amount of management’s time.   As a result, and because we are short-staffed, we could not compile and complete all the necessary work to prepare the required disclosure in our annual report in a timely manner.

FORM 12b-25

NOTIFICATION OF LATE FILING

 

For the year ended April 30, 2008, our revenues decreased by approximately 20%.  In large part this decrease was caused by an approximately $5 million decrease in revenues realized by our silicon products and services operating segment.  During the year ended April 30, 2008 many of our top silicon customers experienced weakened business results and some customers reported inventory buildup in reclaim and/or test products.  Although we experienced an operating loss for the year ended April 30, 2008, that loss is approximately $8,954,000 less than reported for the year ended April 30, 2007.  This decrease was mainly attributable to the reduced general and administrative costs realized during the year, which in large part were due to our reduced staffing.  Further, a significant factor in our decreased operating loss in the year ended April 30, 2008 was the reduction in our research and development expenditures.
