Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective September 15, 2014, Wayne Aoki has been appointed to the Board of Directors of Stewardship Financial Corporation (the “Corporation”) as well as the Corporation’s subsidiary, Atlantic Stewardship Bank (the “Bank”), and shall serve in such capacity until the Corporation’s annual shareholders meeting in 2015. Mr. Aoki shall also serve as a member of the Corporation’s Audit Committee.

Mr. Aoki is an accounting professional with a career that included over 30 years of public accounting experience, primarily with Ernst and Young. He received both his BBA and MBA from the University of Hawaii.
