Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
 
On March 20, 2007 Stewardship Financial Corporation (the “Registrant”) announced that its Board of Directors has approved the decision to cause the listing of its common stock to be withdrawn from the OTCBB and to list its common stock on the Nasdaq Stock Market LLC. The Registrant expects that its common stock will begin trading on The Nasdaq Capital Market under the symbol SSFN at the opening of trading on March 28, 2007. The Registrant’s common stock will continue to trade on the OTCBB under the symbol SSFN until the close of trading on March 27, 2007. A copy of the press release, dated March 20, 2007, is filed as Exhibit 99.1 to this Form 8-K.

MARKETS



Midland Park, NJ - March 20, 2007 - Stewardship Financial Corporation (OTC:SSFN), parent company of Atlantic Stewardship Bank, today announced it has been approved to list its common shares on The Nasdaq Capital Market.

On March 28, 2007, the Corporation will commence trading on The Nasdaq Capital Market under the symbol SSFN. Until that date, the Corporation will continue to trade on the OTCBB.
