Item 12.    Results of Operations and Financial Condition

On July 24, 2003, Autobytel Inc., a Delaware corporation (“Autobytel”), announced its financial results for the quarter ended June 30, 2003. A copy of Autobytel’s press release announcing these financial results is attached as Exhibit 99.1 hereto and incorporated by reference herein. In conjunction therewith, Autobytel also held a telephone conference call that was webcast on that date. A transcript of such call is attached hereto as Exhibit 99.2 and incorporated by reference herein.
