In order to be able to take action on Proposal 3, to approve an amendment to the Company's Certificate of Incorporation to clarify the authority of the Board of Directors to fix the voting rights of any preferred stock issued under the Certificate of Incorporation's existing preferred stock authorization provision, a majority of the shares outstanding had to be present and have voted FOR this proposal. As we did not have sufficient shares voted FOR this proposal to be able to satisfy this requirement, we adjourned the meeting related to this proposal only until 4:00 p.m. Pacific Time on July 3, 2013 at the company's offices listed above.
