Item 5.02 — Departure of Director and Officer

On May 27, 2011, Henry A. Logue’s resignation as the Executive Vice President of Cardinal Bankshares Corporation (“Cardinal”), as the President and Chief Executive Officer of the Bank of Floyd (“Bank”), Cardinal’s wholly owned subsidiary, and as a director of both Cardinal and the Bank became fully effective.

The Board of Directors of the Bank has asked Mr. Leon Moore, the current President and Chief Executive Officer of Cardinal, to assume Mr. Logue’s duties as President and Chief Executive Officer of the Bank.
