Item 4.02(a) Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review

On August 16, 2010, the Chief Executive Officer and the Chief Financial Officer of Cardinal Bankshares Corporation (the “Company”) concluded that the Company should amend previously issued consolidated financial statements that were included in the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2010, and that such consolidated financial statements should no longer be relied upon.

The restatement was required as the result of a subsequent decrease in the final settlement on the sale of the Company credit card portfolio to another bank. The Company was unaware of the adjustment required until the second quarter when the other bank made the final settlement calculation. The revised consolidated financial statements reflect a decrease in the sale of the credit card portfolio of $253 thousand resulting in a reduction to net income of $167 thousand, net of tax effect, to $120 thousand. Both basic and diluted earnings per share decreased from $.19 to $.08, respectively. The Company has on today’s date filed an amendment to its previously filed Form 10-Q for the quarter ended March 31, 2010, reflecting a restatement of the consolidated financial statements as discussed above. The restatement follows guidance of APB 20 for the correction of an error. Prior and subsequent reporting periods were not affected.
