Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

On April 20, 2010, Greg Lorenzetti, a member of the Board of Directors (the “Board”) of Novatel Wireless, Inc. (the “Company”) , advised the majority of the members of the Board that he intended to resign from the Board and as a result, would not stand for re-election at the next annual meeting of the stockholders. In a letter confirming his resignation, effective as of April 21, 2010, Mr. Lorenzetti stated that his other professional commitments did not permit him to devote the time necessary to continue to serve as a director of the Company.
