Item 2.02 Results of Operations and Financial Condition
 
On February 6, 2024, ePlus inc. announced by press release (the “Press Release”) its results of operations for its three and nine months ended December 31, 2023, and held a conference call announcing its financial results for its third fiscal quarter, ended December 31, 2023. A copy of the Press Release and a full transcript of the conference call (the “Transcript”) are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and are incorporated herein by reference.  The Transcript contains certain non-GAAP financial measures.  A reconciliation of GAAP results and non-GAAP financial measures is available in the Press Release that is attached hereto as Exhibit 99.1.
