Explanatory Note

This current report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by ePlus inc. (the “Company”) on September 20, 2022 (the “Original Form 8-K”). The purpose of this Amendment is to update the disclosure under “Item 5.07 Submission of Matters to a Vote of Security Holders” of the Original Form 8-K to provide information regarding the Company’s determination on how frequently the Company will conduct future shareholder advisory votes on the compensation of the Company’s named executive officers. Except for the foregoing, this Amendment does not supplement, modify or update any other disclosure contained in the Original Form 8-K.

Item 5.07. Submission of Matters to a Vote of Security Holders.

As previously reported in the Original Form 8-K, at the Annual Meeting of Shareholders of the Company held on September 15, 2022, the Company’s shareholders voted on, among other matters, a non-binding advisory vote regarding the frequency of future shareholder non-binding advisory votes on the compensation of the Company’s named executive officers. The highest number of votes cast by the Company’s shareholders at the Annual Meeting was in favor of holding such advisory vote every year, as recommended by the Board of Directors (the “Board”). Based on these advisory voting results, the Board has determined that the Company will hold an advisory shareholder vote on named executive officer compensation every year until the next required vote on the frequency of future executive compensation votes, which is required to occur no later than the Company’s Annual Meeting of Shareholders in 2028.
