Univest Corporation of Pennsylvania Announces
Pricing of Common Stock Offering
Souderton, PA August 6, 2009—Univest Corporation of Pennsylvania (“Univest Corporation”) (NASDAQ: UVSP), today announced the pricing of an underwritten public offering of 2,950,000 shares of its common stock at a price to the public of $17.50 per share for total gross proceeds of approximately $51.6 million. Keefe, Bruyette & Woods is acting as the sole book-running managing underwriter of the offering. Univest Corporation has granted the underwriters a 30-day option to purchase up to an additional 15% of the shares sold to cover over-allotments, if any.
Univest Corporation intends to use the net proceeds from the offering for general corporate purposes, including supporting the capital needs of its subsidiary bank, the financing of its operations, the repayment of short-term indebtedness, potential business acquisitions and other capital expenditures.
Univest Corporation expects to close the sale of common stock on August 12, 2009, subject to customary closing conditions.
The shares will be issued pursuant to a prospectus supplement filed as part of an existing shelf registration statement filed with the Securities and Exchange Commission (the “SEC”) on Form S-3 (File No. 333-159084).
