(b) On September 28, 2023, Gail R. Wilensky, Ph.D. informed Quest Diagnostics Incorporated (the “Company”) of her decision to not seek re-election to the Company’s Board of Directors (the “Board”) at the Company’s Annual Meeting of Stockholders expected to be held May 2024 (the “2024 Annual Stockholders Meeting”), and to retire from the Board effective as of the date of the 2024 Annual Stockholders Meeting, when her current term as a director expires.
