(Under Section 5/2.10 of the Illinois Business Corporation Act) I, the undersigned, in order to form a corporation for the purposes hereinafter stated, under and pursuant to the provisions of the Business Corporation Act of the State of Illinois, do hereby certify as follows: FIRST: The name of the corporation is INTERACTIVE MEDIA (IL) CORP. (the "Corporation"). SECOND: The nature of the business or purposes to be conducted or promoted is to engage in any lawful act or activity for which corporations may be organized under the Business Corporation Act of the State of Illinois. THIRD: The initial registered office of the Corporation in the State of Illinois is to be located at 33 North LaSalle Street, Chicago, Illinois 60602. This provision shall not eliminate the personal liability of a director (i) for any breach of the director's duty of loyalty to the Corporation or its shareholders, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, (iii) under Section 8.65 of the Illinois Business Corporation Act, or (iv) for any transaction from which the director derived an improper personal benefit.
