(collectively with its subsidiaries, the “Company”) is filing this Amendment No. 1 on Form 10-Q/A (this “Form 10-Q/A” or this “report”) to amend its Quarterly Report on Form 10-Q for the quarter ended March 31, 2021 filed with the Securities and Exchange Commission (the “SEC”) on May 10, 2021 (the “Original Report”). The Company is filing this Form 10-Q/A to correct the untimely clearing of unvouchered purchase order discrepancies arising from our three-way matching process and the recognition of true-up consideration in business combination accounting. The Company is restating its consolidated balance sheets as of December 31, 2020 and March 31, 2021, and condensed consolidated statements of operations and comprehensive income, cash flows, and equity for the quarters ended March 31, 2021 and 2020.
