ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 3, 2007, the Compensation Committee of the Board of Directors of DXP Enterprises, Inc. (the "Company") awarded David R. Little, Chief Executive Officer, a discretionary bonus of $100,000 in recognition of his performance in 2006.
