The Company intends to use the net proceeds from the offering to fund its offer to purchase and consent solicitation relating to its outstanding 9-1/8% Senior Subordinated Notes due 2007, which was separately announced today, or to otherwise redeem the 9-1/8% notes, to repay outstanding borrowings under its revolving credit facility and for general corporate purposes, including future acquisitions.
