Item 8.01 Other Events.

On May 24, 2016, Vantiv, LLC (“Vantiv”) and Grand Card LLC (“Grand Card”), a wholly-owned subsidiary of Grandparents.com, Inc., entered into a fifth amendment (the “Amendment”), dated as of May 17, 2016, to that certain master services agreement, as amended, between Vantiv and Grand Card dated November 17, 2014, pursuant to which Grand Card committed to purchasing an allotment of cards from Vantiv. Pursuant to the Amendment, Vantiv and Grand Card have agreed to modify the schedule to purchase the cards by extending the time period during 2016 in which the purchases for the allotment must be completed.
