ITEM 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

 

On November 15, 2005, MarkWest Hydrocarbon, Inc., as Borrower, the undersigned Guarantors, Royal Bank of Canada, as Administrative Agent for the Lenders, and the undersigned L/C Issuers and Lenders entered into the Second Amendment to Credit Agreement (the “Agreement”).

 

Under the Agreement, the lending amount has been reduced from $25.0 million to $16.0 million, of which $6.0 million of availability is committed to a letter of credit, leaving $10.0 million available for revolving loans. The second amendment also extended the term of the revolving credit to December 30, 2005. If the revolving credit is converted into a term loan the term will be extended to December 29, 2006. A copy of the Agreement is filed as exhibit 99.1 of this report.
