ITEM 2.02. Results of Operations and Financial Condition

        On November 9, 2004, MarkWest Hydrocarbon, Inc. ("MarkWest") announced its consolidated financial results for the three and nine months ended September 30, 2004. A copy of the MarkWest's earnings release is furnished as Exhibit 99.1 to this Form 8-K.
