Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(a) | Resignation of Director |
On February 24, 2019, Edward Terino resigned as the chief executive officer and as a member of the Board of Directors (the Board) of SeaChange International, Inc. (the Company), effective immediately. At the time of his resignation, Mr. Terino did not serve on any committees of the Board. A copy of the resignation letter is filed herewith as Exhibit 17.1 (the Resignation Letter), and the description of the Resignation Letter contained herein is qualified in its entirety by reference to the full text of the Resignation Letter.
The resignation by Mr. Terino occurs within the context of the Company engaging in discussions with certain of its stockholders with respect to board composition, including TAR Holdings LLC (TAR) and Neuberger Berman Group LLC, each of whom has recently filed a Schedule 13D with the Securities and Exchange Commission (SEC). These discussions have included negotiations which are in advanced stages relating to a customary settlement or cooperation agreement with TAR, the Companys largest stockholder, whose most recent filing with the SEC discloses ownership of 5,111,629 shares or 14.3% of the Companys issued and outstanding capital stock. As disclosed in the Resignation Letter, Mr. Terino does not support a proposed cooperation agreement with TAR and Mr. Terino states that he believes the Board has not been acting in the best interest of all stockholders related to Board composition and the recent discussions with stockholders who have filed a Schedule 13D with the SEC and requested Board representation.
The Board strongly rejects the assertions made by Mr. Terino in the Resignation Letter and the characterization by Mr. Terino of the Boards actions. Contrary to Mr. Terinos claims, the Company believes that it has taken actions, including with respect to its engagement with existing stockholders, that are in the best interest of all of its stockholders, with a particular focus on enhancing stockholder value, and that may include the Company entering into a customary cooperation agreement with the Companys largest stockholder.

The Board has appointed each of Yossi Aloni, the Companys Chief Commercial Officer, Peter Faubert, the Companys Chief Financial Officer, Marek Kielczewski, the Companys Chief Technology Officer, and David McEvoy, the Companys General Counsel, to the Office of the Chief Executive Officer.
With respect to each of Mr. Faubert and Mr. McEvoy, the disclosure included in the Companys proxy statement filed with the SEC on May 25, 2019 under the heading Information Concerning Executive Officers is incorporated herein by reference.
Mr. Aloni, aged 50, joined the Company in January 2019 as the Companys Chief Commercial Officer. Prior to that, from January 2015 to December 2018, Mr. Aloni served as the Chief Corporate Operations at Ateme, and previously served as the Vice President Management and Marketing at Magnum Semiconductor from January 2010 to January 2015.
Mr. Kielczewski, aged 42, joined the Company in 2016 in connection with the Companys acquisition of DCC Labs Sp. Z.o.o. on May 5, 2016, and Mr. Kielczewski has served as the Companys Chief Technical Officer since July 2018. From August 2017 to July 2018, Mr. Kielczewski served as the Companys Senior Vice President, Global Engineering, and from May 2016 to July 2017, as the Companys Senior Vice President CPE Software. Mr. Kielczewski co-founded DCC Labs Sp. Z.o.o in 2009, and from December 2009 until its sale to the Company in May 2016, Mr. Kielczewski served as the Chief Executive Officer of DCC Labs Sp. Z.o.o.
The selection of Messrs. Aloni, Faubert, Kielczewski and McEvoy to the Office of the CEO was not pursuant to any arrangement or understanding with respect to any other person. In addition, there are no family relationships between the foregoing individuals and any director or other executive officer of the Company, and there are no related party transactions between the Company and the foregoing persons reportable under Item 404(a) of Regulation S-K, other than the up to 113,546 shares issuable to Mr. Kielczewski on or after May 5, 2019 and the 113,546 shares issued to Mr. Kielczewski on May 5, 2018, in each case pursuant to that certain stock escrow agreement entered into by the Company in connection with the acquisition of DCC Labs Sp z.o.o. on May 5, 2016.

On February 25, 2019, the Board determined to extend the deadline pursuant to the Companys Amended and Restated By-laws for stockholders to nominate directors to the Board and propose other business for consideration at the 2019 annual meeting of stockholders (Annual Meeting) from February 25, 2019 until 5:30 p.m. ET on March 1, 2019. Any director nominations or proposal for other business received by the Company on or prior to 5:30 p.m. ET on March 1, 2019 and otherwise complying with the Companys Amended and Restated By-laws may be submitted to stockholders at the 2019 Annual Meeting.

Dear William:
It is with great frustration that I must resign my positions as a Director and CEO of SeaChange International, Inc. (SeaChange) effective immediately.
I believe that the Board of Directors is not acting in the best interest of all shareholders related to Board composition and the recent discussions with shareholders who have filed Form 13Ds and requested Board representation.
With respect to Board composition and Form 13D filers, I do not support the proposed Cooperation Agreement with Karen Singer and TAR Holdings LLC, because it is not in the best interest of all shareholders for the following reasons:
| While the proposed Cooperation Agreement is very close to being finalized, to my knowledge, the proposed Cooperation Agreement has not been vetted with other major shareholders. While Karen Singer and TAR Holdings LLC own approximately 15% of SeaChanges outstanding shares, there are 5 shareholders who own approximately 5% or more of SeaChanges outstanding shares as of December 31, 2018. In conversations with these shareholders, they have requested engagement with the Form 13D filers and asked to be advised prior to any Board recomposition. |
| The Cooperation Agreement does not fully take into consideration the requests of another longer-term shareholder (Neuberger Berman) who also requested Board representation through their Form 13D filing. While Neuberger has recommended director nominees to the SeaChange Board, the SeaChange Board has not interviewed any of the Neuberger Berman nominees, yet multiple director nominees recommended by Karen Singer and TAR Holdings LLC have been interviewed. |
| The terms of the proposed Cooperation Agreement are less advantageous to SeaChange than the Cooperation Agreement executed with Viex Capital in 2017, while providing Karen Singer and TAR Holdings LLC greater Board representation than the Viex Cooperation Agreement. |
| The proposed Cooperation Agreement provides Karen Singer and TAR Holdings LLC a percentage of Board seats that is greater than their ownership percentage (15%) to the disadvantage of another longer-term shareholder. Based on my experience with other activist campaigns and personal involvement in several Cooperation Agreements, I do not support the number of Board seats being proposed to Karen Singer and TAR Holdings LLC. |
| The proposed Cooperation Agreement expands the SeaChange Board resulting in incremental cost to SeaChange. SeaChange has experienced numerous restructurings and cost reductions over the past two years to stay in business. Increasing Board fees is not a good use of company resources given the size of the current Board compared to its peers. |
| The proposed Cooperation Agreement does not provide any plan from Karen Singer and TAR Holdings LLC for increasing shareholder value and is designed to protect the current SeaChange Board from disparagement, while positioning Karen Singer and TAR Holdings LLC to gain additional control of the Board and Company in 2020. |
As I have expressed at numerous Board meetings and individual discussions with SeaChange directors and advisors, I am deeply concerned about the lack of a plan to increase shareholder value from Karen Singer and TAR Holdings LLC. Further, based several of Karen Singers and TAR Holdings LLCs other activist campaigns, they have not demonstrated a consistent record of increasing shareholder value, and in some cases, have benefited financially to the detriment of other shareholders.
As I depart SeaChange, I am leaving the company in much better shape than the company I assumed responsibility for in 2016. Today, SeaChange is very well positioned for revenue growth, profitability and positive cash flow because of the numerous restructuring that we have completed over the past two years, the acquisitions of DCC Labs in 2017 and Xstream A/S in 2019, and the strengthened management team led by Yossi Aloni and Marek Kielczewski.
With the assistance of a lawyer with SEC reporting experience, I have prepared this resignation letter without disclosing any material non-public information to allow this letter to be filed with the Companys Form 8-K. Please ensure that my resignation letter is included as an Exhibit to the Companys Form 8-K, so all shareholders are aware of the concerns that I have related to Board composition and the proposed Cooperation Agreement with Karen Singer and TAR Holdings LLC.

Board of Directors Creates Interim Office of the Chief Executive
ACTON, Mass., February 26, 2019 Video delivery platform leader SeaChange International (NASDAQ: SEAC) today announced that Edward Terino notified the Companys Board of Directors that he has resigned as the Companys Chief Executive Officer and as a Director, effective February 24, 2019. Mr. Terinos resignation follows ongoing discussions with certain of the Companys shareholders with respect to Board composition.
The SeaChange Board has created an interim Office of the CEO, which will provide ongoing leadership and oversight of the day-to-day operations of the Company. The Office of the CEO includes Yossi Aloni, Chief Commercial Officer; Peter Faubert, Chief Financial Officer; Marek Kielczewski, Chief Technology Officer; and David McEvoy, General Counsel.
The SeaChange Board of Directors has always and consistently acted in the best interest of the Company and all of its shareholders and remains focused on creating long-term shareholder value, said William Markey, Chairman of the SeaChange Board of Directors. We are fortunate to have a talented and experienced group of senior leaders at SeaChange who can step into the Office of the CEO. We are confident that Yossi, Peter, Marek and David will collectively continue moving the Company forward to achieve our overall goals and strategies.
The Board strongly rejects the assertions and characterizations made in Mr. Terinos letter of resignation.
