Item 8.01. Other Events.
On September 19, 2007, Michael S. Jeffries, Chief Executive Officer and Chairman of the Board of Abercrombie & Fitch Co. (the “Company”), entered into a Rule 10b5-1 plan (the “Plan”) with a broker to sell Company common stock that will be acquired on exercise of certain of Mr. Jeffries’ employee stock options which, if not exercised, would expire on various dates in 2009. Mr. Jeffries entered into the Plan for investment diversification.
Pursuant to the Plan, as many as 2.5 million shares may be sold between February 1, 2008 and November of 2008, at which time the Plan will terminate. Transactions effected under the Plan will be reported through Rule 144 and Form 4 filings with the Securities and Exchange Commission, as appropriate.
The Plan is intended to comply with Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, and with the Company’s Policy Statement Regarding Trading in Company Securities.
