        <footnote id="F1">Barbara Cox Anthony passed away on May 28, 2007. While no transaction in the Issuer's Class A or Class B common stock occurred as a result of Mrs. Anthony's passing, the Barbara Cox Anthony Atlanta Trust terminated on that date, and as a result, the remainder interest of her son, James C. Kennedy, changed into a direct interest in approximately 43% of the shares of non-voting common stock of Cox Enterprises, Inc. (&quot;CEI&quot;) held by the trust.</footnote>
        <footnote id="F2">In addition, as of May 28, 2007, Mr. Kennedy became an income beneficiary of the Dayton Cox Trust A (the &quot;Dayton Trust&quot;). Mr. Kennedy is one of three trustees of the Dayton Trust, and the Dayton Trust may be deemed the beneficial owner of the Issuer's common stock reported on this Form because of the 97.7% of the voting stock of CEI held by the Dayton Trust. CEI owns all of the outstanding capital stock of Cox Holdings, Inc., which owns all of the outstanding capital stock of Cox Broadcasting, Inc., which is the record holder of the shares of Class A and Class B common stock of the Issuer reported on this Form. Actions by the Dayton Trust, including voting and investment decisions, require at least a majority vote of the trustees, and Mr. Kennedy disclaims beneficial ownership of the Issuer's common stock except to the extent of his indirect pecuniary interest therein.</footnote>
